This CareerJump Service Agreement ("Agreement") is entered into electronically between: Cubiccode Digital Media LLP ("Company"), and the individual accepting this Agreement ("Candidate"), collectively referred to as the "Parties".

This Agreement is entered into to enable the Candidate to access job opportunities and participate in interview processes facilitated by Cubiccode Digital Media LLP. It further sets out the terms and conditions governing such access, including the Candidate's obligation to pay a Success Fee to Cubiccode Digital Media LLP upon securing any Placement arising from opportunities introduced by, sourced through, facilitated by, or otherwise connected—directly or indirectly—with CareerJump or Cubiccode Digital Media LLP.

By selecting the acceptance checkbox and completing OTP verification, the Candidate confirms that they agree to the stated terms:

  • Confirms they have read, understood, and agreed to this Agreement.
  • Provides free, informed, and unconditional consent.
  • Acknowledges that this constitutes a valid and binding electronic contract.
  • Agrees that OTP authentication shall constitute a valid electronic signature.

This Agreement shall be enforceable under the Information Technology Act, 2000 (including Sections 4, 5, and 10A) and the Indian Contract Act, 1872. The Candidate expressly agrees that: No physical signature is required, and this electronic record shall constitute the final and binding agreement between the Parties.

1. DEFINITIONS AND INTERPRETATION

In this Agreement, the following expressions will have the meanings assigned below:

"Company" means Cubiccode Digital Media LLP engaged in the business of providing placement facilitation services, including but not limited to job opportunity aggregation, career portal operations, job search enablement, sharing of recruiter and professional contacts and networks, and facilitating interview pipelines between Candidates and prospective hiring recruiters.

"Candidate" means any individual who seeks or accesses a job opportunity through but not limited to the Company's assistance, platform, team member, communities, and communication channels.

"CareerJump" is a product/service of Cubiccode Digital Media LLP, that is designed for but not limited to the candidate and working professionals, to help them provide job openings and schedule interview pipelines.

"Placement" means achieving and accepting a job offer from any new employer for an opportunity sought or accessed directly or indirectly through CareerJump or Cubiccode.

"Success Fee" refers to 5% to 8% of the Candidate's new annual CTC plus 18% GST applicable upon accepting the job offer offered by the new employer through the assistance of the company.

"Agreement Execution" means a candidate digitally accepting the agreement through checkbox confirmation and OTP authentication, which constitutes legal consent of the candidate.

In this Agreement, the singular includes the plural and vice versa, and any gender includes all genders. The headings are for convenience only and do not affect the interpretation.

2. CAREER JUMP SERVICE STRUCTURE

The Candidate will be informed about the job openings and in case the candidate decides to go ahead with the interview process, they will be expected to have accepted this Agreement upon completing the application process, which includes submission of basic personal details, acceptance of terms and conditions, and OTP verification. OTP verification will constitute a valid electronic signature under applicable law and will create a binding contractual obligation between the Candidate and the Company. Further access to career opportunities, interview scheduling will be provided after accepting the agreement.

The Candidate should know that no further physical or written signature is required other than this agreement and that this is the final agreement.

3. DATA PRIVACY AND CONFIDENTIALITY

The Candidate consents to the collection, storage, and processing of their personal and professional information by the Company under the Information Technology Act, 2000 and the Digital Personal Data Protection Act (DPDPA), 2023 for the purposes of job facilitation, interview coordination, and Success Fee verification.

The Company shall implement reasonable safeguards to protect data from unauthorized access, will not sell Candidate data, and shall retain it only as long as necessary for service delivery, legal audit, or fee recovery. The Candidate authorizes the Company to share relevant profiles with prospective employers, recruiters, or financial partners strictly for recruitment and fee-settlement purposes.

The Candidate acknowledges their rights to data correction, grievance redressal, and consent withdrawal under applicable law. However, the Candidate expressly agrees that any withdrawal of consent shall not waive, reduce, or otherwise affect any pending financial obligations (Success Fees) or the Company's right to process data for the enforcement of such obligations under this Agreement.

4. COMPANY'S SCOPE OF SERVICES

The Company shall provide relevant job opportunities and interview scheduling services by scouring job openings, enabling candidate's applications and coordinating with prospective employers to build interview pipelines for the Candidate.

The Company is not accountable for creating, modifying, or updating the Candidate's resume or curriculum. The Candidate remains solely responsible for the quality, accuracy, and presentation of their professional profile. The Company shall not be liable for the Candidate's performance in interviews, nor shall it be responsible for the Candidate's preparation or readiness for any such interviews.

The Candidate understands that the company's scope of service is only limited to finding jobs and scheduling interviews, sharing recruiters contact details and the Candidate acknowledges that the Company does not offer any course or certifications or placement guarantee.

5. INTERVIEW PARTICIPATION, OPPORTUNITY ATTRIBUTION & ACCOUNTABILITY

The Candidate acknowledges that all interviews facilitated through the Company's platform or network constitute Company-facilitated opportunities. The Candidate will be provided interviews as per their Career goals, preferred locations and targeted CTC.

The Candidate acknowledges that he/she will attend all scheduled interviews and the Candidate agrees to attend all scheduled interviews or inform in advance in case of absence, maintain professional conduct throughout the process initiated through the Company.

The Candidate acknowledges that employment opportunities offered by startups, growth-stage companies, or venture-funded organizations may carry varying levels of business and employment risk. By accepting such offers, the Candidate confirms informed acceptance of these conditions. The Company will not be responsible for employment continuity, organizational stability, or any changes in employment conditions arising from such engagements.

The Candidate understands that if in any event the Candidate is unable to attend any scheduled interview for whatsoever reason, the Candidate will inform the assigned placement manager at the earliest possible time.

The Candidate acknowledges that failure to attend three (3) scheduled interviews without prior intimation or valid justification will result in the Candidate's profile being restricted from the Company's Platform and associated communities.

The Candidate acknowledges that job opportunities surfaced through the Company's Platform, including but not limited to roles identified through automated matching systems, career page aggregation, recruiter pipelines, partner portals, or curated opportunity feeds, will constitute Company-facilitated introductions. Any employment secured by the Candidate from such opportunities during the validity period of this Agreement will be treated as a Placement under this Agreement, and the Success Fee will remain payable irrespective of whether the application was submitted directly by the Candidate or through the Company's systems.

The Company will not be responsible for withdrawal, modification, or delay of any employment offer by the employer. The Success Fee obligation will remain applicable where the Candidate accepts a qualifying offer facilitated directly or indirectly through the Company.

The Candidate acknowledges that engaging in job offer shopping or misuse of multiple offers obtained through the Platform is not permitted. In such instances, the Company will reserve the right to eliminate the Candidate's profile from its systems and associated communities.

The Candidate acknowledges that after every interview, the Candidate will disclose all interview discussions and outcomes, job offers, and employment status changes within twenty-four (24) hours of occurrence. The Candidate will also provide the emails from the recruiter to the company after every interview. Any failure to disclose, or any misrepresentation of such information, shall be deemed a material breach of this Agreement and shall result in the immediate applicability and enforcement of the Success Fee.

The Candidate agrees that the company does not promise a certain number of job interviews. It will be completely dependent on the hiring cycle in the job market.

6. OFFER ACCEPTANCE AND LIABILITY

The Candidate agrees upon acceptance of a job offer arising from an opportunity obtained directly or indirectly through the Company's Platform, the Success Fee will become immediately due and payable to the Company. This obligation will arise at the time of offer acceptance and will not be contingent upon joining, salary credit, or commencement of employment.

The Candidate will complete payment of the Success Fee within seven (7) days from the date of offer acceptance. In case of EMI, once the offer is accepted by the candidate, they will be expected to follow the arrangement that has been agreed between the candidate and a NBFC partner.

7. LIMITED WAIVER CONDITION

The Success Fee shall become payable within seven (7) calendar days from the Candidate's formal acceptance of the employment offer issued through the Company's services. The Success Fee shall remain applicable and non-refundable if the Candidate declines the offer after acceptance, withdraws prior to the joining date, fails to join on the agreed joining date, or otherwise discontinues the hiring process for any reason attributable to the Candidate.

A refund of the Success Fee shall be applicable only in the event that the employer formally withdraws or cancels the employment offer prior to the Candidate's joining date. In such cases, the Company shall process the refund within fifteen (15) calendar days from the date of confirmed written communication of the employer's withdrawal. No other circumstances shall qualify for refund, waiver, or adjustment unless expressly approved in writing by the Company.

8. PLACEMENT ATTRIBUTION AND COVERAGE

The Company is accountable to provide interviews and schedule interview pipelines, hunt job opportunities as per the Candidates career goals. The Candidate acknowledges that the job interview outcome, whether placed or not placed is solely dependent on Candidates performance in all the interviews provided or attended. The Candidate knows that the Company's scope of service is limited only towards providing job openings, recruiter contacts, and building job interview pipelines.

9. INCOME SHARING TERMS — SUCCESS FEE OBLIGATION

The Candidate irrevocably and unconditionally agrees to pay the Company a success fee ("Success Fee") ranging from five percent (5%) to eight percent (8%) of the accepted annual Cost to Company (CTC), plus applicable taxes (currently 18%), upon acceptance of any employment offer arising directly or indirectly from the Company's services, platform, references, or introductions.

The Success Fee shall become immediately due and payable upon the Candidate's acceptance of an offer, irrespective of whether the Candidate ultimately joins the employer, declines the offer post-acceptance, fails to onboard, or discontinues employment at any stage thereafter, for any reason whatsoever.

The Success Fee shall remain fully payable and enforceable in all circumstances, including but not limited to termination or withdrawal of the offer or employment due to background verification failures, misrepresentation, concealment of information, or documentation discrepancies attributable to the Candidate.

Any change, revision, or modification to the employment terms after offer acceptance—including but not limited to compensation structure, role, designation, reporting structure, work location, or any other employer terms—shall have no bearing on, and shall not reduce, waive, or otherwise affect the Candidate's obligation to pay the Success Fee.

The Company shall bear no responsibility or liability for any withdrawal, delay, modification, or cancellation of an employment offer by the employer under any circumstances. Notwithstanding the same, the Success Fee obligation shall remain absolute and binding once the Candidate has accepted a qualifying offer.

The Success Fee shall remain payable irrespective of probation outcomes, performance evaluations, duration of employment, internal restructuring, or termination of employment for any reason whatsoever, whether voluntary or involuntary.

Any opportunity, interview, employer interaction, or hiring process initiated, enabled, or influenced by the Company shall be conclusively deemed to be a Company-facilitated placement. This shall include, without limitation, instances where: (i) the Company shares recruiter or employer details; (ii) the Company enables or initiates communication between the Candidate and employer; or (iii) the Candidate is introduced to any opportunity through the Company in any manner.

If the Candidate participates in any interview or hiring process through the Company and is not selected at that time but subsequently receives any form of communication, engagement, or offer from the same employer or associated entity at any later date, such placement shall be conclusively deemed to have been facilitated by the Company, and the Success Fee shall remain fully applicable and payable.

Further, where any hiring process initiated through the Company extends beyond twelve (12) months from the effective date of this Agreement, any resulting offer shall continue to fall within the scope of this Agreement, and the Success Fee shall remain payable upon acceptance.

The Candidate expressly agrees not to dispute, delay, withhold, or contest the Success Fee obligation under any circumstances once an offer has been accepted, except in cases of demonstrable and material breach by the Company.

The Candidate shall remit the full Success Fee within seven (7) days from the date of offer acceptance, unless a prior written approval for an installment (EMI) arrangement has been granted by the Company. Time shall be of the essence with respect to all payment obligations.

In the event of any delay or default in payment, the Company shall have the unrestricted right to: (i) levy interest at the rate of two percent (2%) per month on the outstanding amount until full payment is made; (ii) initiate legal and recovery proceedings at the sole cost and risk of the Candidate; and (iii) recover all associated costs, including but not limited to legal fees, collection charges, and enforcement expenses.

The Company shall further have the right, without prior consent, to notify employers, recruiters, affiliates, or any relevant third parties involved in the placement process regarding the Candidate's non-compliance or payment default, and the Candidate expressly waives any claims arising from such disclosure.

Any approved EMI arrangement shall not constitute a waiver of the Company's rights. Failure to adhere to the instalment schedule shall result in immediate acceleration of the entire outstanding amount, which shall become due and payable forthwith, along with applicable interest and penalties.

10. EMI AND PAYMENT TERMS

The Candidate shall remit the full Success Fee within seven (7) days from the date of offer acceptance, unless a prior written approval for an installment (EMI) arrangement has been granted by the Company. Time shall be of the essence with respect to all payment obligations.

Payment may be made directly to the Company or through an approved NBFC partner offering EMI facilities. Under such arrangement, the Candidate may opt to pay a portion as an initial down payment, with the remaining amount payable in agreed monthly installments, subject to applicable interest and processing charges of the financial partner.

The Success Fee must be paid exclusively to the official Company bank account details (Schedule A) provided in the formal invoice or the official platform dashboard. No other account details, person, or third-party requests shall be accepted or considered as a valid discharge of the Candidate's payment obligation.

Any delay in payment shall attract a late fee of 2% per month on the outstanding amount until full payment is completed. The Candidate shall remain fully liable for repayment under any EMI arrangement, and any default may result in recovery proceedings under both this Agreement and the applicable financial partner's terms.

11. DEFAULT AND BREACH CONSEQUENCES

The Candidate agrees not to bypass or circumvent the Company's placement process to avoid Success Fee obligations for any opportunity introduced during the Agreement validity period. The Candidate shall not attempt to independently negotiate removal of the Company's involvement from any interview process initiated through the Company.

If the Candidate voluntarily resigns from the new employer after joining for any reason whatsoever, the Success Fee obligation will remain unaffected. If in any further event the Candidate employment is terminated due to background verification issues, misrepresentation, or documentation discrepancies attributable to the Candidate, the Success Fee will remain payable in all aspects.

The Candidate will not alter application routes, conceal employer identity, or restructure hiring engagement to avoid success fee payment. Any such conduct will be treated as deliberate circumvention and will trigger immediate legal enforcement.

12. NON-WITHDRAWAL AND COMMITMENT CLAUSE

Upon acceptance of this Agreement, the Candidate agrees to remain committed to the Career Jump Service. The Candidate can withdraw participation voluntarily unless his interviews are scheduled beforehand.

If the Company schedules an interview opportunity that constitutes a minimum seventy-five percent (75%) alignment with the Candidate's career profile ("Qualified Match"), such opportunity shall be conclusively deemed a valid and satisfactory match for the purposes of this Agreement.

In the event the Candidate fails to attend, declines to participate, withdraws, or only partially participates in such interview for any reason whatsoever, the same shall nonetheless be treated as a Qualified Match. Any such non-attendance, refusal, or incomplete participation shall not relieve, reduce, or otherwise affect the Candidate's obligation to pay the applicable Success Fee under this Agreement.

13. DURATION AND EXPIRY

This Agreement shall remain valid from the Effective Date until the earlier of full payment of the Success Fee or expiry of twelve (12) months.

The Success Fee will remain payable for any Placement secured during the validity period of this Agreement where such Placement arises directly or indirectly from Opportunities accessed through the Company's Platform, interview processes initiated by the Company, or recruiter introductions facilitated by the Company.

In the event an interview process, recruiter engagement, or hiring pipeline initiated during the validity period continues beyond the twelve (12) month period and results in a job offer being accepted by the Candidate at any time thereafter, such Placement will be deemed to have originated during the validity period, and the Success Fee will remain fully applicable and payable.

Any employment secured by the Candidate with an employer introduced, connected, or accessed through the Company during the validity period, whether through immediate hiring or subsequent re-engagement at a later stage, will be treated as a qualifying Placement under this Agreement, and the Success Fee will remain payable irrespective of the date of offer acceptance.

14. LIMITATION OF LIABILITY

The Company shall not be responsible for employer decisions, offer withdrawals, delays, compensation changes, or termination of employment. All employment-related risks shall remain solely with the Candidate. To the extent permitted by law, the Company's total liability under this Agreement shall not exceed the total fees paid by the Candidate, and the Company shall not be liable for any indirect or consequential damages.

15. NOTICE

All communications between the Company and Candidate shall be made through official email or registered postal address shared at the time of enrolment. Notices sent via email shall be deemed received within twenty-four (24) hours, and those sent via registered post within five (5) business days.

16. NO PARTNERSHIP OR EMPLOYMENT RELATIONSHIP

This Agreement does not create any employer-employee, agency, or partnership relationship between the Company and the Candidate. The Candidate remains an independent professional and Company acts solely as a facilitation provider.

17. SEVERABILITY

If any clause of this Agreement is deemed invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

18. LEGAL FEES AND RECOVERY

In case of payment default or any other legal dispute, the defaulting party will bear all associated legal costs, including attorney fees, court expenses, and recovery charges.

19. PUBLICITY AND NON-DISPARAGEMENT

The Candidate authorizes the Company to use its testimonial or success stories for marketing purposes upon prior consent. The Candidate will refrain from making defamatory, misleading, or disparaging remarks about the Company, its trainers, or affiliates on any platform.

20. GOVERNING LAW AND ARBITRATION

This Agreement shall be governed by and construed under the laws of India. Any disputes arising hereunder shall be resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The venue of arbitration shall be Belgaum, Karnataka, and the proceedings shall be conducted in English.

21. RECOVERY AND ENFORCEMENT RIGHTS

In the event of payment default beyond seven (7) days, the Company may initiate recovery proceedings upon providing prior written notice and an opportunity to cure such default. The Candidate shall be liable for reasonable costs associated with such recovery, including legal and enforcement expenses.

22. FREE CONSENT AND NO COERCION

The Candidate acknowledges and declares that they are entering into this Agreement voluntarily and out of their own free will, without coercion, undue influence, misrepresentation, fraud, or pressure of any kind by the Company or by any of its representatives.

The Candidate further confirms that they have been given adequate opportunity to read, understand, and seek clarification on all terms of this Agreement prior to providing acceptance. The Candidate agrees that their consent, provided through electronic means including checkbox confirmation and OTP authentication, constitutes free consent as defined under applicable law, including the Indian Contract Act, 1872. The Candidate further agrees that this Agreement shall not be challenged on the grounds of lack of free consent at any time in the future.

FINAL DECLARATION

By clicking "I Agree" and completing the OTP verification, the Candidate:

  • Confirms they have read, understood, and voluntarily accepted all terms of this Agreement.
  • Expressly acknowledges the Success Fee payment obligation upon offer acceptance.
  • Agrees that the OTP authentication constitutes a valid electronic signature under the Information Technology Act, 2000, creating a legally binding and enforceable contract between the Parties.
SCHEDULE A: OFFICIAL PAYMENT DETAILS

All payments toward the Success Fee must be made exclusively to the account listed below. The Company will never request payments to personal accounts or through unofficial channels.
